SUBSCRIPTION AND AUTO-RENEWAL TERMS
If you purchase a subscription, membership, or any automatically renewing product or service through the Site, you authorize MoneyChisme, LLC to charge your payment method on a recurring basis at the then-current subscription rate until you cancel. The billing cycle and applicable fees will be disclosed at the time of purchase. Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. Cancellations will take effect at the end of the current billing period; no partial refunds will be issued for unused periods unless otherwise required by applicable law. Continued use of the subscription after a price change constitutes your acceptance of the new rate. DIGITAL PRODUCTS AND SERVICES – RETURNS/REFUNDS
Digital Products and Services: All sales of digital products, downloadable files, templates, online courses, memberships, and other intangible goods are final and non-refundable once the digital content has been accessed, downloaded, or delivered, except where required by applicable law. GOVERNING LAW; VENUE
This Agreement shall be construed in accordance with, and governed by, the laws of Texas as applied to contracts that are executed and performed entirely in Texas. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be Bexar County, Texas.
DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to this Agreement, the Site, or the Services, including any question regarding the existence, validity, or termination of this Agreement, shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights. The arbitration shall be conducted in Bexar County, Texas, or at a mutually agreed location, and shall be governed by the Federal Arbitration Act (FAA). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND MoneyChisme, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable in a particular case, then the entirety of this arbitration provision shall be null and void for that case only, and the dispute shall be resolved in a court of competent jurisdiction. You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to info.moneychisme@gmail.com.
FORCE MAJEURE
MoneyChisme, LLC shall not be liable for any delay or failure to perform any obligation under this Agreement where such delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or public health emergencies, war, terrorism, civil unrest, government action or regulation, strikes or labor disputes, power outages, internet or telecommunications failures, or other events outside our reasonable control (each, a “Force Majeure Event”). In the event of a Force Majeure Event, our obligations under this Agreement will be suspended for the duration of the event, and we will use commercially reasonable efforts to resume performance as soon as practicable.
SEVERABILITY
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
ENTIRE AGREEMENT/WAIVER
This Agreement constitutes the entire agreement between you and MoneyChisme, LLCpertaining to the Site and Service and supersedes all prior and contemporaneous agreements, representations, and understandings between us pertaining to the Site and Service. No waiver of any of the provisions of this Agreement by MoneyChisme, LLC shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by us.
